A Guide to Commercial Real Estate Closing Documents

Closing on a commercial real estate transaction involves more documentation than a residential sale. Understanding what each document does helps you close with confidence.

    Key Seller Documents

    • Grant Deed: Transfers legal ownership of the property from seller to buyer
    • Bill of Sale: Transfers personal property included in the sale (appliances, laundry equipment)
    • Assignment of Leases: Transfers all tenant leases and security deposits to the buyer
    • Assignment of Contracts: Transfers any service contracts (landscaping, elevator, pest control)
    • Seller's Affidavit: Certifies that the seller has disclosed all known material facts about the property
    • FIRPTA Certification: Certifies whether the seller is a foreign person for withholding purposes

    Key Buyer Documents

    • Promissory Note: The loan commitment — promises to repay the mortgage
    • Deed of Trust: Gives the lender a security interest in the property
    • Closing Disclosure (CD): Final breakdown of all costs and credits at closing

    Title and Escrow Documents

    • Title Insurance Policy: Protects buyer (and lender) against title defects
    • Preliminary Title Report: Reveals existing liens, easements, and encumbrances
    • Escrow Instructions: The agreement governing how escrow holds and disburses funds
